These Terms and Conditions (“T&C”) govern the use of our website, www.digitalmathlab.com (“Website”), the associated applications (“Digitalmathlab Web Application”), and any products or services related to the Application, Website, or products (“Services”). These T&C apply to both (a) users accessing or utilizing the Application, Website, Services, or products through various registration methods and subscription models, including but not limited to SD cards, tablets, or other storage/transmitting devices, internet or cloud based services and (b) the Company(“Company/We/Us/Our”), MathLab Institute Pvt. Ltd, Basement 2, Integrated startup Complex, Kerala Technology Innovation Zone, Kinfra Hi-Tech Park Main Rd, HMT Colony, North Kalamassery, Kalamassery, Kochi, Kerala 683503;, operating under the brand name MATHLAB INSTITUTE (Hereinafter referred to as the Company). This terms and conditions applies to any individual, company, institution, or their authorized representative, including faculty members of such institutions, parents of minor students who access or use our application (hereinafter referred to as “User” or “End User” and collectively as “You,” “Your,” or “Yours”).

This document constitutes an electronic record under the Information Technology Act, 2000, and the Information Technology (Intermediaries Guidelines) Rules, 2011, as amended from time to time.

We request you to carefully review these Terms, along with the Company’s Privacy Policy, which governs the registration process, as well as your use of the Application, Website, Services, and products. In case of any inconsistency between these Terms and any other policy related to the Application, Website, Services, or products, the provisions outlined in these Terms shall take precedence.

Your use, access, browsing, or registration (whether with or without payment or subscription) of the Application, Website, Services, or products constitutes your full acceptance of these Terms and signifies your agreement to be bound by them legally.

If you disagree with any of the Terms or the Privacy Policy, please refrain from using the Application, Website, or accessing the Services or products. Any registration or subscription for our Services, Application, or products is strictly non-transferable.

Except as expressly provided below, all information, content, materials, trademarks, service marks, trade names, and trade secrets, including but not limited to the software, text, images, graphics, videos, scripts, and audio, contained within the Application, Website, Services, and products are the exclusive and proprietary property of Mathlab Institute Pvt. Ltd. (“Company/We/Us/Our”) (“Proprietary Information”). You are prohibited from copying, downloading, reproducing, modifying, republishing, uploading, posting, transmitting, or distributing any Proprietary Information in any manner unless you have obtained prior written consent from the Company.

Nothing on the Application, Website, or in relation to the Services or products shall be construed as granting you any license or right, either expressed or implied, to any of the intellectual property rights owned by the Company. Although you may own the physical medium on which the content, information, or materials reside, the Company retains exclusive and full ownership of all intellectual property rights associated with such content, information, or materials on the medium.

Certain content on the Website may be owned by third parties. Such content has been reproduced with prior consent from the respective third parties, and all intellectual property rights related to such content shall remain with the respective third party. Additionally, you acknowledge and agree that the ownership of all trademarks, copyrights, logos, service marks, and other intellectual property belonging to third parties will continue to be vested in the respective third parties. You are not permitted to use such third-party intellectual property without the express consent of the respective third party.

Permitted use and restrictions

Your access and use of our products, Website, Application, and Services are strictly for personal, non-commercial purposes. Any other use of the Application, Website, Services, or products, or their respective contents, beyond personal use, is expressly prohibited. Your use of the Application, Website, products, and/or Services shall be subject to the following limitations and restrictions:

  • You shall not decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code or underlying structure of any part of the Application, Website, Services, or products, nor shall you modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content, or software obtained from the Application, Website, or Services/products.
  • You shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices affixed to or appearing within the Application, Website, Services, or products, or any content thereof.
  • You shall not (a) use the Application, Website, or any products or Services of the company for commercial purposes of any kind, (b) advertise, sell, or distribute the Application, products, Services, or domain names for any purpose, whether for profit or not, (c) solicit donations, contributions, or engage in any form of commercial solicitation through the Application or Website, or (d) use any public forum, if available, for commercial activities of any nature.
  • You shall not use the Application, Website, products, or Services of the company in any unlawful manner, or in any way that could harm, disrupt, or damage the Company or any third party, as determined by the Company in its sole discretion.
  • Content Restrictions: Users shall not upload, post, transmit, or make available any content that is false, misleading, unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, obscene, child-pornographic, lewd, lascivious, profane, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Harassment and Intimidation: Users shall not engage in stalking, intimidation, harassment, or incite others to commit acts of violence, whether physical or psychological, against any person or entity.
  • Encouraging Criminal Conduct: Users shall not transmit or make available any material that promotes, encourages, or facilitates the commission of a criminal offence, results in civil liability, or otherwise violates any applicable laws, regulations, or codes of practice.
  • Interference with Other Users: Users shall not disrupt, interfere with, or restrict any other person’s access to or enjoyment of the Application, Website, Services, or products.
  • Intellectual Property Infringement: Users shall not create, transmit, or store electronic copies of materials protected by copyright, trademark, or other intellectual property rights, unless the user has received explicit authorization from the relevant rights holder. Any act of infringement of intellectual property or proprietary rights is strictly prohibited.
  • Unauthorized Content: Users shall not make available any content or material that they do not have the legal right to use, including material covered by any contractual or fiduciary relationship, unless the user owns or controls the rights or has obtained all necessary consents.
  • Impersonation: Users shall not impersonate any individual, organization, or entity, or misrepresent their affiliation with any person or entity in any manner.
  • Malicious Software and Viruses: Users shall not post, transmit, or make available any material that contains harmful software or computer programs, including but not limited to viruses, trojan horses, worms, spyware, time bombs, cancelbots, or other harmful code that may interfere with the functioning of the Application, Website, Services, or products, or compromise the rights, interests, or data of other users.
  • Overburdening Systems: Users shall not access, use, or attempt to use the Application, Website, Services, or products in a manner that could damage, disable, overburden, or impair the Application’s or Website’s servers or the networks connected to any of the servers hosting the Application or Website.
  • Interfering with Services: Users shall not intentionally or unintentionally interfere with or disrupt the normal functioning of the Application, Website, Services, or products, violate any applicable laws concerning the access or use of these Services, or violate any requirements, procedures, policies, or regulations of networks connected to the Application, Website, Services, or products.
  • Unauthorized Access and Security: Users shall not attempt to disrupt the security measures of the Application, Website, Services, or products, or gain unauthorized access to user accounts, passwords, servers, or networks connected to or accessible through the Application, Website, Services, or products, including any linked or affiliated sites.
  • Disruption of User Experience: Users shall not intentionally or otherwise engage in any activities that disrupt, harm, or impair the access or use of the Application, Website, Services, or products by any other user, including denial-of-service attacks or other forms of disruptive activities.

Prohibited Activities: Users are expressly prohibited from engaging in the following actions while accessing or using the Application, Website, Services, or products:

Automated Access and Data Acquisition: Users shall not employ deep-links, page-scraping techniques, robots, spiders, or any automatic device, program, algorithm, or methodology, or any manual process of a similar nature or effect, to:

  • Increase traffic to the Application, Website, Services, or products;
  • Access, acquire, copy, or monitor any portion of the Application, Website, Services, or products;
  • Reproduce, circumvent, or manipulate the navigational structure or presentation of the Application, Website, Services, or any content therein;
  • Obtain or attempt to obtain any content, documents, or information through means other than those specifically made available through the Application, Website, Services, or products.

Modification or Alteration of Services: Users shall not alter, modify, or tamper with any part of the Services, Website, Application, or products in any manner.

Unauthorized Use of Services: Users shall refrain from using the Services for any purposes that are:

  • Not expressly permitted by these Terms and Conditions;
  • Not in accordance with applicable laws, regulations, or generally accepted practices or guidelines in the relevant jurisdiction.
  • Violation of Terms: Users are prohibited from violating or contravening any of the terms specified under these Terms and Conditions concerning the use of the Application, Website, Services, or products.

User content license

By submitting content (“Your Material”) through or on the Services, you hereby grant the Company a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Material in any media or distribution method, whether now known or developed in the future. You also grant the Company the right to associate Your Material with your identity. This license allows the Company to use Your Material in the same way as other content made available through the Services. Furthermore, other users of the Services may use, tweak, fork, or repurpose Your Material in accordance with these Terms and Conditions. In the event that you delete your user account, Your Material and associated name may still remain accessible through the Services.

Accuracy and availability of information

While the Company endeavors to provide the most current, accurate, and clear information in the Application, Website, Services, and products, inadvertent errors may occur. The Company disclaims any responsibility for inaccuracies or errors that may be present in the content or materials on the Application, Website, Services, or products. Feedback from Users is highly encouraged to enhance the accuracy and user-friendliness of the Application. The Company reserves the right to make changes, corrections, or modifications to the content at any time, without prior notice. Neither the Company nor any third parties make any warranty or guarantee regarding the accuracy, timeliness, completeness, or suitability of the content and materials offered on the Application, Website, Services, or products for any specific purpose. You acknowledge that the information and materials may contain inaccuracies or errors, and the Company expressly excludes liability for such inaccuracies or errors to the fullest extent permitted by applicable law.

No liability for educational content

The Website provides Users access to compiled educational information and related resources on an “As Is” basis. The Company assumes no responsibility or liability for the accuracy, completeness, obsolescence, or use of such information. The Company is under no obligation to update or ensure the continuity of such information. The Company is not liable for any errors in information compiled from third-party sources or for the unavailability of such information. The Website may contain links to external websites for your convenience. These links are provided solely for additional information, and they do not constitute an endorsement by the Company of such external sites. The Company has no responsibility for the content of any linked website(s).

Supplementary educational use

The content of the Application, Website, Services, and products is based on the structured curriculum syllabus prescribed for various educational courses. The Application, Website, Services, and products are not intended to replace the curriculum-based education provided by educational institutions but to supplement it by presenting the concepts in a manner that promotes better understanding. The basic definitions and formulae related to the subject matter remain consistent. The Company acknowledges the existence of various pedagogical methods for delivering the curriculum and does not endorse any one method over another. The inclusion or exclusion of specific methods within the Application, Website, Services, or products does not signify endorsement or disapproval.

No guarantee of admission or academic achievement

Subscription to the Application, or usage of the Website, Services, and products does not in any manner guarantee admission to any educational institution, nor does it ensure success in any examination or guarantee a specific percentage of marks in any examination.

Opinions and views disclaimer

Certain content available within the Application, Website, Services, and products, (particularly those related to assistance for administrative service preparations, competitive exam preparations etc) may reflect the opinions and views of individuals. The Company disclaims any responsibility or liability for any opinions expressed, as well as for any claims or consequences arising from such opinions. Additionally, the Company does not provide any warranties or representations regarding the quality, completeness, accuracy, or sufficiency of such information or data.

Third-party content and user contributions

Some features within the Services may be interactive, and the Company encourages User contributions, which may or may not undergo editorial review before being posted. The Company expressly disclaims any responsibility or liability for material submitted by third parties through such interactive features. The Company reserves the right, at its sole discretion, to review, edit, remove, or delete any content posted on the Application, Website, or Services. Moreover, the Company shall not be held responsible or liable for any content uploaded directly by Users to the Website, regardless of whether such content has been reviewed or certified by the Company. The Company is also under no obligation to verify the authenticity or compliance of any User-submitted questions, answers, or content with applicable intellectual property or other legal standards.

User consent to communications

By accessing or using the Application, Website, Services, or products (whether through a free download, trial, or other forms of registration), the User expressly consents to being contacted by the Company, its subsidiaries, affiliates, partners, and representatives via SMS, email, or phone calls or any other manner as and when available. Such communications may pertain to information about the Company’s offerings, products, important updates, or requests for demonstrations. The User grants explicit permission for such communications and agrees to indemnify the Company, its subsidiaries, and affiliates against any liability, including financial penalties, damages, and expenses, that may arise if the User’s contact information is registered in the “Do Not Call” (DNC) database of “National Customer Preference Register (NCPR)”. By registering for the Application or Services, the User further acknowledges and hereby agrees that their contact details may be shared with the Company’s employees, associates, subsidiaries, affiliates, and partners for purposes of receiving educational information, promotional offers, and updates via telephone, SMS, email, or other forms of communication from the company or its representatives.

Product demonstrations and user acknowledgement

The Company may, at the User’s request and based on their confirmation, facilitate a demonstration of its products at a location specified by the User. The User acknowledges and agrees that they have not been influenced or induced by any statements, representations, or promises made by any person regarding the quality or conditions of the products. The User confirms that they have relied solely upon their own investigations, examinations, and inspections in determining the suitability of the products, and that the Company has provided the User with an adequate opportunity to conduct such investigations, examinations, trials and inspections to their satisfaction. The company shall not be liable for any further claims by the user in this regard.

User consent for communication

By registering for the Application, Services, or products through any method, the User expressly grants the Company the right to contact them through the mobile number, email address, or any other contact details provided during registration. This consent includes, but is not limited to, communications for the effective provision of Services. The User acknowledges and agrees that the Company may contact them, as well as any student utilizing the Services, through the aforementioned means at any time following registration.

Monitoring and analysis of usage

The Company reserves the right to monitor the User’s or student’s use of the Application, Services, and products, including the download and usage thereof, and to analyze such usage. The Company may discuss such usage with the User/student to enhance the effectiveness and efficiency of the Services provided. Additionally, the User expressly permits the Company to clear any doubts or questions raised by the student utilizing the Application/Services/online portal by answering such questions, providing study plans, informing the student of their progress, offering feedback, communicating with the student, and providing mentoring services via telephone or email, upon the express consent of the legal guardian or parent of the User, or through any other relevant forum.

Quality control and personnel

While the Company has made reasonable efforts to ensure that personnel engaged in sales and service-related functions are properly trained to maintain quality control, the Company does not make any warranties or representations regarding the competency or behavior of such personnel. The Company shall not be held responsible for any misconduct or deviant behavior exhibited by its personnel. The Company encourages User feedback in this regard and reserves the right, at its sole discretion, to take appropriate action based on such feedback.

Access to services and fair usage policy

Access to certain features of the Services, such as doubt clearance and mentoring services, may be subject to separate terms, conditions, and a fair usage policy. The Company reserves the right to establish criteria for providing various elements of its Services to different categories of Users based on its internal policies. Consequently, a subscription to the Application or registration does not entitle the User to access all elements of the Services offered by the Company. The Company retains the right to exercise discretion in granting or discontinuing access to specific Services and determining the continuity of such Services. The Company further reserves the right to extend, cancel, discontinue, modify, or withdraw any Services, in whole or in part, at its sole discretion.

Compatibility of devices

The Company’s products and Services, including the Application and its content, may be compatible only with certain devices, computers, tablets, instruments, or hardware that meet the Company’s specified requirements. The Company is not obligated to provide functionality, support, or services for devices that are not recognized by the Company or for third-party instruments or devices that are incompatible with the Company’s products and Services. The Company reserves the right to update the list of compatible devices and hardware as necessary, at its sole discretion, and without notice.

Limitation of liability for hardware, software, and instrument damage

The Company shall not be held responsible or liable for any loss, damage, or impairment to any hardware, software, or instrument, including but not limited to loss of data or a decrease in processing speed, that may result from Your use of the Company’s products and Services. The User accepts all risks associated with the use of the Application, Services, and products, and the Company disclaims any liability for such risks.

Referral program and bonus policy

To foster customer retention and loyalty, the Company may encourage its customers, partners, and other stakeholders to refer new customers to purchase its products and Services. The Company, at its sole discretion, may offer a referral bonus, subject to applicable laws and the Company’s policies. The decision regarding the payment of referral bonuses rests solely with the Company, and such decisions are final and cannot be disputed or challenged. It is expressly clarified that no customer, partner, or stakeholder should engage in business transactions with the Company in anticipation of receiving a referral bonus. The bonus is entirely at the Company’s discretion and is based on internal parameters, demographic factors, and other economic considerations. The Company shall not be liable for any customer or partner who does business with the Company under the assumption of receiving a referral bonus, as this is contingent upon the Company’s policies.

Order details and tax liability

Once an order has been processed, the address cannot be changed under any circumstances. Any inaccuracies in the provided name or address may result in discrepancies in GST returns or other tax-related matters. The Company shall not be held responsible or liable for any such errors made by the User.

Registration and account management

In order to access the Services and utilize the Application/products, You must register for an account with the Application/Services/products. During the registration process, You will be required to provide certain information, including but not limited to Your name, mobile number, email address, residential address, grade/class, school name, payment information (e.g., credit/debit card details), and any other details deemed necessary by the Application. The following responsibilities and conditions apply to the information provided:

  • Accuracy of Information: It is Your sole responsibility to ensure that the information provided during registration is accurate, complete, and up to date.
  • Confidentiality and Account Security: You are responsible for maintaining the confidentiality of your account information, including login credentials, and for all activities conducted under your account. You agree to: a) Log out of Your account at the end of each session; b) Immediately notify the Company of any unauthorized use of Your account.

If the Company reasonably believes that your account has been compromised or misused, it may request that you change your password or may suspend Your account without any liability. The suspension of your account may last for a period the Company deems appropriate under the circumstances. The Company shall not be liable for any loss or damage arising from your failure to comply with these requirements.

External Factors: You acknowledge that your ability to access and use the Application, Services, and products is dependent upon external factors, including but not limited to internet service providers, network availability, and internet speed. The Company cannot guarantee continuous or uninterrupted access to the Application. Additionally, the Company shall not be liable for any damages or losses resulting from your inability to log into Your account or access the Services due to factors beyond the Company’s control, including disruptions in internet connectivity.

Eligibility for registration

In accordance with the provisions of the Indian Contract Act, 1872, only individuals who are legally competent to contract shall be eligible to register for the use of the Application and avail themselves of the Company’s products or Services. For the purposes of these Terms, a “competent” individual is one who is of sound mind, not a minor, and not an undischarged insolvent.

Persons who are minors, undischarged insolvents, or otherwise legally incompetent are prohibited from registering for or accessing the Company’s products or Services. In the case of a minor seeking to use the Application or the Services, such use shall only be permitted with the explicit consent and agreement of their legal guardian or parents, who shall be deemed to have accepted these Terms on behalf of the minor. It is presumed that if a minor uses the Application, Website, or Services, they have obtained the necessary consent from their legal guardian or parents, and such use is authorized by the legal guardian or parent.

The Company shall not be held liable for any consequences arising from the use of the Application or the Company’s products or Services by any person, including minors, who register for or misuse the Services. If it is determined that a user is under the age of 18 (eighteen) years and has not obtained the proper consent from a parent or legal guardian, or if any information provided by the user is found to be false or misleading, the Company reserves the right to immediately terminate the user’s subscription and/or revoke access to the products or Services.

By using the products or Services, You warrant that all information provided by you is accurate, complete, and up to date. If the user is a minor, the minors legal guardian hereby further warrant that you have provided the necessary consent as the legal guardian of the minor to use the Application and the Services. The Company does not bear the responsibility for verifying the eligibility of users to register for or use the products and Services. It is solely the responsibility of the user or their legal guardians (if the users are minors) to ensure that they meet the eligibility criteria set forth herein.

Individuals under the age of 18 (eighteen) must obtain the consent of their parent or legal guardian before providing any personal information or information about their family members on the Application or in connection with the Services. If any such information is accessed or used by any minor at any circumstances without their parent’s/legal guardian’s consent, the company shall not be liable for any further claims from such users/parents/legal guardians or anyone representing them in this regard.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, agents, subsidiaries, and affiliates (collectively, “Indemnitees”) from and against any and all claims, damages, liabilities, obligations, losses, costs, expenses (including but not limited to attorney’s fees), judgments, fines, or debts arising out of or in connection with: (i) Your use of or access to the Application, Website, and/or Services, including any content or functionality thereof; (ii) Your violation or breach of any term of these Terms of Service or any other applicable policy, guideline, or agreement set forth by the Company; (iii) Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or proprietary rights; (iv) Any claim made by a third party that Your use of the Application, Website, or Services has caused harm, damage, or loss to such third party, whether due to negligence or intentional conduct.

This indemnification obligation shall survive the termination or expiration of these Terms.

Limitation of liability

Under no circumstances shall the Company, its officers, directors, employees, partners, agents, subsidiaries, or affiliates be liable to You or any third party for any special, incidental, indirect, consequential, or punitive damages, including but not limited to those resulting from loss of data, loss of profits, or loss of use of the Application, Website, or Services, or any other claim arising out of or in connection with Your use of or access to the Application, Website, or Services, whether or not the Company has been advised of the possibility of such damages.

Injunctive relief

In the event of Your breach of these Terms, You acknowledge that the Company will be irreparably harmed, and that monetary damages may be insufficient to remedy such harm. Therefore, You agree that the Company shall be entitled, in addition to any other legal remedies available, to seek injunctive relief, including but not limited to a temporary restraining order or preliminary injunction, from a court of competent jurisdiction, without the necessity of posting a bond or proving actual damages.

The Company’s right to seek injunctive relief shall not limit its ability to pursue any other remedies available under law or equity.

Suspension, termination, and disclosure

In the event of any breach of these Terms by You, the Company reserves the right to immediately suspend or terminate Your account and access to the Application, Website, or Services, without notice, and without any liability to You. Further, the Company may disclose Your Account Information to governmental or legal authorities if required by law or regulation.

You acknowledge and understand that a violation of these Terms may subject You to civil or criminal liability under applicable laws, and that the Company may pursue such remedies in addition to suspension or termination of Your account.

Modification of the application and terms

The Company reserves the right to modify, suspend, discontinue, or eliminate any aspect, feature, or functionality of the Application, Website, or Services at its sole discretion, without prior notice to You. Additionally, the Company reserves the right to amend, modify, or update these Terms from time to time, at its discretion, without prior notice to You. Any changes to these Terms will become effective upon posting on the Website or Application.

The Company makes no commitment, express or implied, to maintain or continue any aspect of the Application, Website, or Services, and shall not be liable to You or any third party for any modification, suspension, or discontinuance of the Application, Website, or Services.

All prices for the products or services offered by the Company are subject to change without prior notice.

Dispute resolution

Arbitration Clause

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach, or termination, shall be resolved through binding arbitration, in accordance with the Arbitration and Conciliation Act, 1996, or any amendments thereto. The arbitration shall be conducted as per the provisions of the act, and the place of arbitration shall be Kochi, Kerala, India. The language of the arbitration shall be English, and the arbitration proceedings shall be confidential. The arbitration award shall be final and binding upon both parties, and the parties agree to abide by and comply with the award. Notwithstanding the foregoing, nothing in this clause shall prevent either party from seeking interim or emergency relief from any court of competent jurisdiction in Kochi, Kerala, India. Both parties expressly consent to the jurisdiction of the competent courts in Kochi, Kerala, India, for any matter related to the enforcement of this arbitration clause or the enforcement of any arbitral award.

Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, including the interpretation, performance, or breach thereof, shall be subject to the exclusive jurisdiction of the competent courts located in Kochi, India. You hereby consent to the exclusive jurisdiction of such courts and waive any objections to venue or inconvenient forum.

Disclaimer

THE WEBSITE (www.digitalmathlab.com), THE APPLICATION (Digitalmathlab Web Application), AND THE SERVICES ARE PROVIDED ON AN “AS IS” BASIS, WITH ALL FAULTS, AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, TIMELINESS, PERFORMANCE, COMPLETENESS, SUITABILITY, AND NON-INFRINGEMENT.
